By participating in the Agency Program for Espresso Bulk Editor (the “Agency Program”), you are agreeing to these terms. Please read them carefully and reach out to us if you have any questions.
1. Acceptance of Terms
By applying to and participating in the Agency Program, you accept these terms. If you do not agree with them, please do not participate. We may update or amend these terms occasionally. Your continued participation after any updates means you accept the new terms.
2. Agency Participation
When participating in the Agency Program, you agree to promote Espresso Bulk Editor in a professional manner and comply with all applicable laws and regulations, not misuse the Agency Program or engage in misleading practices, not replicate, distribute, or resell any part of the Agency Program without permission. Thorup Ventures reserves the right to refuse access to the Agency Program or terminate the participation of any agency at any time.
3. Commission Structure
Enrolled agencies will receive a 20% lifetime commission on the gross revenue generated by each merchant referred through a unique install link or retroactively assigned to the agency at our discretion. Thorup Ventures reserves the right to change the commission rate at any time, at its sole discretion.
4. Enrollment and Termination
Thorup Ventures reserves the right to accept or reject any application for the Agency Program at its discretion. Not all applicants will be enrolled. Thorup Ventures may terminate the agreement with individual agencies by providing three (3) months' notice, while an agency may terminate the agreement with immediate effect. Thorup Ventures may terminate this agreement immediately if the agency breaches any terms herein.
5. Disclaimers and Limitations on Liability
The Agency Program is provided “as is”. To the extent permitted by law, we exclude all warranties and liability for damages related to your participation in the Agency Program. In no event shall Thorup Ventures, nor its directors, employees, partners, agents or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your participation in the Agency Program; (ii) any conduct or content of any third party related to the Agency Program; (iii) any content obtained from the Agency Program; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.
6. Governing Law
These terms of use and any separate agreements whereby we provide you with the Agency Program shall be governed by and construed in accordance with applicable laws. All disputes between Thorup Ventures and you (whether or not such dispute involves a third party) shall be submitted exclusively to a competent court of law in Denmark.
